These Terms of Use ("Terms") govern your access to and use of the website at constructconnect-rconstructionsolutions.com (the "Site") and the recruiting, network sourcing, and related services provided by ConneX, a division of R. Construction Solutions ("ConneX," "we," "us," or "our").

By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, you must not use the Site or Services.

## 1. About Us

ConneX is the AEC network sourcing and recruiting division of R. Construction Solutions. The operating entity, WODeration LLC d/b/a R. Construction Solutions, is an Illinois limited liability company registered as a foreign entity in California, with primary office located at 101 Cooper Street, 2nd Floor, Santa Cruz, CA 95060.

## 2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our Site or Services. By using the Site or Services, you represent and warrant that you meet these requirements. The Site and Services are intended for business and professional use.

## 3. Description of Services

ConneX provides recruiting and network sourcing services to the AEC industry, including:

- AEC Recruiting (project managers, estimators, site superintendents, SSHOs, project engineers, administrative support, HR, accounting, and skilled field personnel)

- Supplier Sourcing (connecting contractors with material suppliers and equipment rental companies)

- Subcontractor Connections (matching general contractors with pre-vetted subcontractors)

- Business Opportunity Sourcing (strategic AEC partnerships)

Specific terms for engagements (including fee structures, placement guarantees, evaluation periods, and replacement terms) are documented in separate service agreements between ConneX and the client.

## 4. Acceptable Use

When using the Site or Services, you agree NOT to:

- Use the Site or Services for any unlawful purpose

- Impersonate any person or misrepresent your affiliation, credentials, or employment history

- Submit false, misleading, or fraudulent candidate information or job descriptions

- Interfere with or disrupt the Site, Services, or servers

- Attempt to gain unauthorized access to any portion of the Site or Services

- Use automated means (bots, scrapers) to collect information from the Site without our written permission

- Copy, modify, distribute, or create derivative works of any content on the Site without authorization

- Use the Site or Services to harass, abuse, defame, or threaten others

- Discriminate against any candidate based on legally protected characteristics in connection with our Services

- Upload or transmit viruses, malware, or any harmful code

## 5. Candidate Submissions

If you submit your information as a candidate (resume, work history, credentials, references, etc.), you represent and warrant that:

- All information submitted is true, accurate, and complete

- You have the right to share all information submitted, including any third-party references or work product

- You are legally authorized to work in the United States (or the jurisdiction where you are seeking employment)

- You consent to ConneX sharing your information with prospective hiring clients in accordance with our Privacy Policy

You retain ownership of your resume and personal information. You may withdraw from active consideration or request removal of your profile at any time by contacting [email protected].

## 6. Hiring Client Engagements

If you engage ConneX as a hiring client, the specific terms (including scope, fees, placement guarantee, evaluation periods, and replacement terms) will be set out in a separate Service Agreement, Master Services Agreement, or Statement of Work between you and ConneX. In the event of any conflict between these Terms and a separate signed agreement, the separate agreement controls.

Hiring clients agree to:

- Provide accurate job descriptions and role requirements

- Comply with all applicable employment, labor, and anti-discrimination laws

- Notify ConneX promptly if a candidate accepts an offer, declines, or terminates employment within the evaluation period

- Not solicit or directly hire candidates introduced by ConneX outside of the agreed-upon fee structure during the agreed evaluation window

## 7. Intellectual Property

### 7.1 Our Content

All content on the Site — including text, graphics, logos, images, videos, brand names (ConneX, XpertHire, R. Construction Solutions, and others), trademarks, and the selection and arrangement of all materials — is owned by ConneX or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

You may not use any of our content, branding, or trademarks without our prior written consent.

### 7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal and internal business purposes, subject to these Terms.

### 7.3 Your Content

If you submit content to us (resumes, testimonials, project descriptions, photos, feedback), you grant ConneX a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, publish, and display that content in connection with our business — including sharing candidate information with prospective hiring clients per our Privacy Policy.

## 8. SMS and Text Message Communications

By providing your phone number to ConneX through our forms or other intake methods and checking the applicable consent box(es), you consent to receive text messages from us at the number you provided.

### 8.1 Transactional Messages

Interview confirmations, application status updates, scheduling, account notifications, and service-related communications.

### 8.2 Marketing and Promotional Messages

Marketing offers, news, content updates. Marketing messages require a separate consent. Consent is not a condition of any service.

### 8.3 General SMS Terms

- Frequency: Message frequency varies.

- Cost: Message and data rates may apply based on your mobile carrier plan.

- Opt out: Reply STOP to any message to unsubscribe.

- Help: Reply HELP for assistance, or contact (908) 408-2145 or [email protected].

- Carriers not liable: Wireless carriers are not liable for delayed or undelivered messages.

- Supported carriers: Major U.S. carriers.

You may withdraw consent at any time.

Our Site may contain links to third-party websites, services, and our affiliate brands. We are not responsible for the content, accuracy, opinions, or practices of third parties. Your use of any third-party service is at your own risk.

### 10.1 Site and Information

### 10.2 Not an Employer

ConneX is a recruiting and network sourcing service. We are not the employer of any candidate we present to hiring clients. Hiring clients are solely responsible for their employment decisions, employment terms, compliance with anti-discrimination laws, wage and hour laws, workers' compensation, and all other employment-related obligations.

### 10.3 No Guaranteed Placements or Outcomes

We do not guarantee placement of any candidate, acceptance of any candidate by a hiring client, or the future performance of any placed candidate. Placement outcomes depend on hiring client decisions, candidate performance, and many factors beyond our control.

### 10.4 Not Legal, Tax, or Financial Advice

Content on our Site is for general informational purposes. It does not constitute legal, tax, accounting, financial, or employment-law advice. Hiring clients and candidates should consult appropriate licensed professionals.

### 10.5 Candidate Information Accuracy

While we make reasonable efforts to verify candidate information through our pre-vetting process, we do not independently confirm every detail submitted by candidates. Hiring clients are responsible for conducting their own due diligence, background checks, reference checks, and credential verification before extending employment offers.

## 11. Limitation of Liability

To the maximum extent permitted by applicable law, ConneX, R. Construction Solutions, and their officers, directors, employees, agents, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to lost profits, lost revenue, lost data, business interruption, or loss of goodwill, arising out of or relating to your use of the Site or Services.

ConneX's total cumulative liability for any claims arising out of or relating to the Site or Services shall not exceed the greater of (a) the amount you paid to ConneX in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

Some jurisdictions do not allow the limitation or exclusion of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

## 12. Indemnification

You agree to indemnify, defend, and hold harmless ConneX, R. Construction Solutions, and their officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any applicable law (including employment, labor, and anti-discrimination laws); (d) any content you submit; or (e) for hiring clients, your employment decisions and post-placement conduct involving candidates we have introduced.

## 13. Termination

We may suspend or terminate your access to the Site or Services at any time, for any reason, with or without notice. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

## 14. Governing Law

These Terms and any disputes arising out of or relating to them shall be governed by the laws of the State of Illinois, without regard to its conflict of laws principles.

## 15. Dispute Resolution

### 15.1 Informal Resolution

Before initiating any formal action, the parties agree to attempt in good faith to resolve any dispute by contacting [email protected] with a detailed written description of the dispute. The parties agree to engage in good-faith discussions for at least 30 days before pursuing arbitration.

### 15.2 Binding Arbitration

Any disputes that cannot be resolved informally shall be resolved by binding, confidential arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in Cook County, Illinois, or remotely if both parties agree. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction solely for purposes of enforcement. The parties waive any right to a jury trial. CLASS ACTIONS, COLLECTIVE ACTIONS, AND CONSOLIDATED PROCEEDINGS ARE NOT PERMITTED.

Each party shall bear its own attorneys' fees and costs unless the arbitrator awards otherwise.

## 16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. Material changes will be communicated through a notice on the Site or by email. Your continued use of the Site or Services after changes take effect constitutes your acceptance of the updated Terms.

## 17. General Provisions

### 17.1 Entire Agreement

These Terms (together with our Privacy Policy, Cookie Policy, Disclaimer, and any separately signed agreements) constitute the entire agreement between you and ConneX regarding the Site and Services.

### 17.2 Severability

If any provision is found unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

### 17.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver.

### 17.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

### 17.5 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control.
